Introduction These Terms of Service govern your access to and use of SkunkWerx websites, accounts, software, downloads, licences, documentation, APIs, support services, and related products. By creating an account, purchasing a licence, downloading software, activating software, or using any SkunkWerx product or service, you agree to these Terms. If you do not agree to these Terms, you must not use the website, software, account system, licence system, or any related service. 2. Definitions In these Terms: “SkunkWerx”, “we”, “us”, and “our” means Leon Jordan trading as SkunkWerx. “You” and “your” means the person or organisation using the website, software, account, licence, or services. “Software” means any SkunkWerx software, tools, flashing utilities, diagnostic tools, tuning tools, checksum tools, ECU tools, updates, modules, installers, or related downloadable files. “Licence” means the limited permission we grant you to use the Software under these Terms. “ECU” means an engine control unit, electronic control unit, module, controller, or related electronic automotive/motorcycle component. “Supported ECU List” means the list, documentation, compatibility table, or product description stating which ECUs, protocols, vehicles, interfaces, or functions are supported. “Digital Content” means software, licence keys, downloads, online account access, documentation, updates, digital services, or other non-physical products. 3. Eligibility You must be at least 18 years old or have legal authority to enter into a contract. If you use SkunkWerx on behalf of a business, workshop, garage, company, or organisation, you confirm that you have authority to bind that organisation to these Terms. You are responsible for ensuring that your use of the Software is legal in your country, region, workplace, and intended use case. 4. Nature of the Software SkunkWerx software is technical ECU-related software. ECU reading, writing, flashing, tuning, patching, checksum correction, communication testing, and related operations involve inherent risk. Using the Software incorrectly, using unstable power, using unsupported hardware, selecting the wrong ECU, using an incorrect file, interrupting a flash operation, modifying calibration data incorrectly, or using the Software on an unsupported ECU may cause damage. Possible consequences include, but are not limited to: failed reads; failed writes; corrupted data; communication failure; immobilised vehicles; non-starting engines; bricked ECUs; damaged ECUs; damaged vehicles; loss of calibration data; loss of original files; recovery costs; towing costs; workshop costs; lost time; lost income; legal or compliance issues. You accept these risks when using the Software. 5. No guarantee of compatibility You are responsible for checking the Supported ECU List before purchasing. We are not responsible if you purchase the Software expecting support for a vehicle, ECU, protocol, interface, cable, function, or feature that is not listed as supported. Unless expressly stated in writing, the Software is not guaranteed to support any specific ECU, vehicle, motorcycle, car, module, protocol, interface, adapter, tuning file, calibration, read method, write method, checksum method, or recovery method. Compatibility information may be updated from time to time. Support for one ECU, vehicle, protocol, or firmware version does not guarantee support for another. 6. Supported, beta, experimental, and research features Features may be marked as: stable; supported; beta; experimental; research; read-only; write-capable; checksum-supported; recovery-supported; unsupported. Beta, experimental, and research features may be incomplete, unreliable, untested, or subject to change. You use beta, experimental, and research features entirely at your own risk. We may add, remove, restrict, or modify features at any time, especially where required for safety, security, legal, licensing, or technical reasons. 7. Licence grant Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable licence to install and use the Software for your own lawful purposes. The Software is licensed, not sold. You do not acquire ownership of the Software, source code, systems, methods, documentation, branding, or intellectual property. 8. Licence restrictions You must not: copy the Software except as necessary for normal permitted use; share your account or licence with others; resell, rent, lease, sublicense, lend, or transfer the Software or licence; bypass activation, authentication, licence checks, subscriptions, device limits, or access controls; modify, patch, crack, tamper with, or disable protection mechanisms; use another person’s account or licence; use the Software to provide unauthorised commercial access to unlicensed users; use the Software in a way that overloads, attacks, disrupts, or abuses our systems; use the Software for unlawful purposes. 9. Reverse engineering and security restrictions You must not reverse engineer, decompile, disassemble, unpack, debug, trace, instrument, modify, patch, dump, hook, emulate, or analyse the Software except to the extent that applicable law expressly prohibits this restriction. You must not use packet sniffing, API tracing, proxy interception, TLS interception, memory dumping, debugger tools, deobfuscation tools, binary analysis tools, virtualisation bypass tools, or similar methods to inspect, copy, bypass, reproduce, or interfere with the Software, licence system, activation system, API, authentication system, encryption, communication framework, or server-side protections. You must not attempt to discover, extract, copy, reuse, or bypass: API keys; licence tokens; signing keys; encryption keys; authentication flows; server endpoints; anti-tamper checks; device fingerprinting; protocol implementations; proprietary algorithms; checksum routines; flashing routines; source code; private documentation. You must not build, distribute, or assist in building competing, derivative, cracked, bypassed, cloned, or unauthorised versions of the Software or its systems. Any breach of this section may result in immediate account termination without refund, licence revocation, and legal action. 10. Account security You are responsible for keeping your login credentials secure. You must not share your account credentials. You must notify us promptly if you believe your account has been compromised. We may suspend or terminate accounts where we suspect unauthorised access, account sharing, abuse, fraud, reverse engineering, or breach of these Terms. 11. Device activations Licences may be limited to a certain number of devices, activations, users, or installations. We may use device fingerprints, activation records, licence checks, and server-side controls to enforce these limits. We may refuse, reset, or revoke activations where we suspect abuse, sharing, fraud, tampering, or breach of these Terms. Device resets may be provided at our discretion. 12. Internet access and licence checks The Software may require internet access for: login; activation; licence verification; subscription checks; feature access; updates; abuse prevention; security checks. Some licences may allow limited offline use, but offline use is not guaranteed unless expressly stated. We are not responsible if the Software cannot be used because your internet connection, firewall, antivirus, DNS, VPN, proxy, operating system, device, or network prevents required communication. 13. Updates and changes We may release updates, patches, fixes, feature changes, compatibility changes, or security changes. Some updates may be required to continue using online services, licence checks, or certain features. We may discontinue old versions where necessary for security, reliability, compatibility, or legal reasons. We do not guarantee that any feature will remain available forever. 14. Purchases and payment Prices are displayed at checkout or on our website. You are responsible for ensuring that your purchase is correct before payment. You must check: the Supported ECU List; supported interfaces; supported operating systems; licence duration; activation limits; whether the feature you need is stable, beta, experimental, or unavailable; any stated limitations. Payment must be made through our approved payment provider. We may refuse, cancel, or suspend orders where we suspect fraud, abuse, payment failure, chargeback risk, breach of these Terms, or unlawful use. 15. Refund policy Because SkunkWerx provides digital software, licence access, account access, and downloadable digital content, purchases are generally non-refundable once digital access has been provided, a licence has been issued, software has been downloaded, or the Software has been activated, except where required by law. You are not entitled to a refund simply because: you bought the Software for an unsupported ECU; you did not read the Supported ECU List; your ECU, vehicle, adapter, cable, interface, operating system, or setup is unsupported; the Software does not perform a function that was not advertised; you changed your mind after receiving access; you no longer need the Software; you lack the required technical knowledge; your vehicle or ECU has a separate fault; your antivirus, firewall, network, or computer blocks the Software; you expected beta, experimental, or research features to behave as stable features. Nothing in these Terms affects any statutory rights that cannot legally be excluded. Where the law gives you cancellation rights for digital content, we may ask you at checkout to consent to immediate access and acknowledge that you lose the usual cancellation right once digital access begins. 16. Chargebacks and payment disputes If you open a chargeback, payment dispute, or reversal without contacting us first, we may suspend your account, licence, downloads, and access while the matter is investigated. Fraudulent or abusive chargebacks may result in permanent termination of your account and licence. 17. No responsibility for ECU or vehicle damage You are solely responsible for all ECU, vehicle, wiring, flashing, tuning, power supply, bench setup, recovery, and calibration decisions. We are not responsible for: bricked ECUs; damaged ECUs; corrupted ECU data; failed flashes; failed reads; failed writes; immobiliser issues; checksum problems caused by unsupported files or misuse; damaged vehicles; non-starting vehicles; lost original files; incorrect wiring; unstable power supply; wrong ECU selection; incorrect protocol selection; use of unsupported adapters; user error; third-party tuning files; modified firmware; mechanical failure; emissions, inspection, MOT, road legality, insurance, or compliance consequences. You should always maintain backups, use a stable power supply, confirm ECU identification, follow documentation, and understand recovery options before writing to an ECU. 18. No professional advice The Software, website, and documentation are provided for technical use. We do not provide legal, regulatory, insurance, MOT, emissions, safety, or professional engineering advice. You are responsible for ensuring your use of the Software and any modified ECU file complies with applicable law, regulations, insurance terms, road-use rules, emissions rules, motorsport rules, workshop rules, and safety requirements. 19. Motorsport, off-road, and legal compliance Certain features may be intended only for lawful motorsport, off-road, research, diagnostic, or workshop use. You must not use the Software to unlawfully defeat emissions systems, safety systems, immobiliser systems, theft-prevention systems, roadworthiness requirements, or legal restrictions. You are solely responsible for how you use the Software and any files, calibrations, modifications, or outputs created with it. 20. Third-party tools, interfaces, and files The Software may be used with third-party hardware, interfaces, cables, drivers, ECUs, files, operating systems, or tools. We are not responsible for third-party products, including: J2534 devices; K-line interfaces; CAN interfaces; drivers; USB adapters; bench harnesses; power supplies; tuning files; calibration files; checksum tools; operating system changes; antivirus or security tools. Compatibility with third-party tools may change without notice. 21. Backups and recovery You are responsible for creating and safely storing backups before making changes to an ECU. You should not write to an ECU unless you understand the risks and have a recovery plan. We are not responsible for lost files, missing backups, failed recovery, incorrect original files, or inability to restore an ECU. 22. Support We may provide support by email, documentation, account systems, or other methods. Support is provided at our discretion and does not guarantee that we can solve every issue. We may refuse support where: the ECU is unsupported; the user has breached these Terms; the issue relates to third-party hardware or files; the user is abusive or threatening; the request involves unlawful activity; the request involves reverse engineering, cracking, bypassing, or attacking our Software or systems. 23. Availability We aim to keep our website, licence system, account system, downloads, and services available, but we do not guarantee uninterrupted access. Services may be unavailable due to: maintenance; outages; hosting provider issues; payment provider issues; internet problems; security incidents; updates; abuse prevention; force majeure events. We are not liable for temporary unavailability. 24. Intellectual property All intellectual property rights in the Software, website, documentation, branding, logos, designs, code, systems, protocols, licence systems, authentication systems, communication frameworks, algorithms, and related materials belong to SkunkWerx or its licensors. You may not copy, reproduce, distribute, modify, publish, sell, reverse engineer, or create derivative works from our intellectual property except as expressly allowed by these Terms. 25. Feedback and suggestions If you provide feedback, ideas, suggestions, bug reports, feature requests, or improvements, you grant us permission to use them without restriction or payment. We are not required to implement any feedback. 26. Termination We may suspend or terminate your account, licence, downloads, or access immediately if we believe that you have: breached these Terms; shared your account or licence; attempted to reverse engineer the Software; attempted to bypass licence checks; used sniffing, debugging, tracing, or analysis tools against the Software or services; abused support; engaged in fraud; opened abusive chargebacks; used the Software unlawfully; harmed or attempted to harm our systems, users, or business. Termination for breach does not entitle you to a refund. 27. Disclaimers The Software and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, representations, or guarantees, whether express or implied, including but not limited to: fitness for a particular purpose; compatibility with any specific ECU or vehicle; uninterrupted operation; error-free operation; successful ECU reading; successful ECU writing; successful recovery; suitability for commercial workshop use; suitability for any legal, regulatory, emissions, MOT, insurance, road-use, or motorsport purpose. 28. Limitation of liability To the fullest extent permitted by law, we are not liable for: ECU damage; vehicle damage; failed reads; failed writes; corrupted files; lost data; lost original files; loss of profit; loss of business; loss of income; loss of opportunity; loss of goodwill; workshop downtime; towing costs; repair costs; replacement ECU costs; third-party claims; indirect or consequential loss; misuse of the Software; unsupported use; user error. Where liability cannot legally be excluded, our liability is limited to the amount you paid for the Software or service giving rise to the claim, unless the law requires otherwise. Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or statutory rights that cannot be excluded. 29. Indemnity You agree to indemnify and hold SkunkWerx harmless against claims, losses, costs, damages, liabilities, and expenses arising from: your misuse of the Software; your breach of these Terms; your use of the Software on unsupported ECUs or vehicles; your tuning, flashing, calibration, or modification decisions; your unlawful use of the Software; your violation of third-party rights; your reverse engineering, tampering, cracking, or bypassing activities; claims made by your customers, clients, workshop, employer, or third parties. 30. Changes to these Terms We may update these Terms from time to time. If changes are significant, we may notify users by website notice, account notice, email, software notice, or update prompt. Continued use of the Software or services after changes take effect means you accept the updated Terms. 31. Assignment You may not transfer your account, licence, rights, or obligations without our written permission. We may transfer our rights or obligations as part of a business transfer, restructuring, sale, merger, or similar event. 32. Severability If any part of these Terms is found to be invalid or unenforceable, the remaining parts will continue to apply. 33. No waiver If we do not enforce a right immediately, that does not mean we have waived it. 34. Governing law and jurisdiction These Terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, except where applicable consumer law gives you the right to bring proceedings elsewhere. 35.
